1. General
These general terms and conditions apply to all offers, quotations, agreements, and services provided by EduTechConsultancy, located at Sleedoorn 12, 1853 AN Heiloo, and registered with the Chamber of Commerce under number 85362603. By entering into an agreement with EduTechConsultancy, the client agrees to these general terms and conditions.
2. Applicability
These general terms and conditions apply to all quotations, agreements, and deliveries of services unless explicitly agreed otherwise in writing. Any purchase or other terms and conditions of the client are expressly rejected.
3. Basis of Quotations
Quotations from EduTechConsultancy are based on the information provided by the client. The client guarantees that the provided information is complete and accurate. EduTechConsultancy will carry out the work to the best of its knowledge and ability.
4. Execution of the Assignment
- EduTechConsultancy will make every effort to execute the assignment to the best of its ability and in accordance with professional standards.
- The agreement is an obligation to perform to the best of one’s ability; EduTechConsultancy cannot guarantee a specific result.
- If unforeseen circumstances arise, EduTechConsultancy will consult with the client to find an appropriate solution.
- Cancellations by the client within three weeks prior to the execution date may result in full billing of the canceled activity.
5. Rates and Costs
- The rates and costs are specified in the quotation and are exempt from VAT unless stated otherwise.
- Any travel and accommodation costs will be charged separately if agreed upon in advance.
- Rates may be adjusted annually as of January 1.
6. Payment Terms
- Payment must be made within 30 days of the invoice date unless otherwise agreed in writing.
- If the payment term is exceeded, the client is in default by operation of law, and EduTechConsultancy may charge statutory interest.
- EduTechConsultancy reserves the right to suspend the execution of the assignment if the payment term is exceeded.
7. Delivery and Completion
- EduTechConsultancy will deliver the agreed services in accordance with the description in the agreement.
- If changes to the assignment are agreed upon, delivery dates and costs may be adjusted. Additional work will be invoiced separately.
- Complaints regarding the execution of the assignment must be submitted in writing within 14 days after completion.
8. Intellectual Property
- All intellectual property rights related to materials created by EduTechConsultancy remain with EduTechConsultancy, unless otherwise agreed in writing.
- The client is granted a non-exclusive right of use for their organization. Reproduction, publication, or further distribution is not permitted without prior written consent from EduTechConsultancy.
9. Confidentiality
- EduTechConsultancy treats all information from the client as strictly confidential and will not share it with third parties without the client’s written consent.
- The client is also obligated to maintain confidentiality regarding all business information of EduTechConsultancy.
10. Liability
- EduTechConsultancy is only liable for direct damages resulting from an attributable shortcoming. Indirect damages, such as consequential loss or loss of profit, are excluded.
- The liability of EduTechConsultancy is limited to the amount invoiced for the respective assignment.
11. Force Majeure
- In the event of force majeure, EduTechConsultancy is entitled to suspend or terminate the agreement without being liable for any compensation.
- Force majeure includes circumstances beyond the reasonable control of EduTechConsultancy, such as disruptions, natural disasters, or government measures.
12. Privacy and Data Processing
- EduTechConsultancy processes personal data in accordance with the General Data Protection Regulation (GDPR).
- Personal data will only be used for the execution of the assignment and will not be retained longer than necessary.

13. Disputes
- All agreements between EduTechConsultancy and the client are governed by Dutch law.
- Disputes will preferably be resolved amicably. If this is not possible, disputes will be submitted to the competent court in the Netherlands.
14. Modification of Terms and Conditions
- EduTechConsultancy reserves the right to amend or supplement these terms and conditions. The most recent version of the terms and conditions can be found on the EduTechConsultancy website.
